Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of LabWinds, a pharma and healthcare market-intelligence platform operated by LabWinds (“we”, “us”, “our”). LabWinds is based in London, United Kingdom. Please read these Terms carefully before using the service.

1. Acceptance of terms

By accessing or using LabWinds, joining our waitlist, or creating an account, you agree to be bound by these Terms and by any policies referenced in them. If you do not agree, do not access or use the service. If you use LabWinds on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.

2. The service

LabWinds provides a web platform for pharma and healthcare market intelligence. It includes a news feed, an entity database covering drugs, companies, diseases, clinical trials, and deals, and an AI analyst assistant. The platform aggregates, harmonises, and presents publicly available third-party data, such as company press releases, ClinicalTrials.gov records, drug labels and DailyMed, and other public databases. LabWinds is an information tool only.

3. Eligibility

You must be able to form a legally binding contract to use LabWinds. The service is intended for professional use by people working in or around the pharma and healthcare sectors. It is not directed at, and may not be used by, anyone under the age of 16.

4. Accounts and waitlist

You agree to provide accurate and current information when joining the waitlist or creating an account, and to keep it up to date. You are responsible for safeguarding your access credentials and for all activity that occurs under your account. Joining the waitlist does not guarantee access to the service, and we may grant, decline, or revoke access at our discretion.

5. Acceptable use

When using LabWinds, you agree not to:

• use the service for any unlawful purpose or in breach of these Terms;
• scrape, crawl, bulk-extract, or otherwise harvest data or content, or reverse engineer any part of the platform;
• attempt to disrupt the service, or gain unauthorised access to any account, system, or data;
• resell, redistribute, or sublicense the data or content;
• use any output to build or train a competing dataset, database, or product.

6. Intellectual property

The platform, including its software, design, structure, and the compilation, curation, and harmonisation of data, is owned by LabWinds or its licensors and is protected by intellectual property laws. The underlying public data remains the property of its respective sources. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the service for its intended purpose. No other rights are granted.

7. Third-party data and accuracy

Content on LabWinds is aggregated from public and third-party sources. It may be incomplete, delayed, out of date, or contain errors, and is provided for general informational purposes only. We do not warrant the accuracy, completeness, timeliness, or reliability of any content, and we are not responsible for the underlying third-party sources.

8. No professional advice

LabWinds does not provide medical, clinical, legal, financial, or investment advice. Nothing on the platform is a recommendation to buy or sell any security, to make any investment, or to make any medical or clinical decision. You are solely responsible for your own decisions and should consult appropriately qualified professionals before acting on any information found on the service.

9. AI-generated content

The AI analyst assistant can produce inaccurate, incomplete, or misleading output. AI responses are generated automatically and are not reviewed by us. You should independently verify any AI-generated content before relying on it.

10. Disclaimer of warranties

To the maximum extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free.

11. Limitation of liability

To the maximum extent permitted by law, LabWinds will not be liable for any indirect, incidental, special, or consequential damages, or for any loss arising from decisions made in reliance on the content. Our total aggregate liability arising out of or relating to the service will not exceed the amounts you paid to us, if any, in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under English law, including liability for death or personal injury caused by negligence, or for fraud.

12. Indemnity

You agree to indemnify and hold harmless LabWinds against any claims, losses, or costs arising from your misuse of the service or your breach of these Terms.

13. Changes to the service and terms

We may modify, suspend, or discontinue features of the service at any time. We may also update these Terms from time to time, and we will update the “Last updated” date above when we do. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the service at any time, with or without notice, if you breach these Terms or if we reasonably consider it necessary to protect the service or other users.

15. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.
